Types of Slovenian companies
  • Limited Liability Company (d.o.o.): Legal entity can be set up with one founder or multiple founders who are not liable for the obligations of the business. The minimum amount of EUR 7,500 share capital must be paid into the business, which can be used to fund operations when the company starts trading. Share capital can be paid in monetary form, or in non-financial kind such as real property, movable property, rights etc. Slovenian company can register for VAT, or it can operate non-taxable for VAT.
  • Sole trader (s.p.): is an individual who performs an activity in the market. No starting capital is required to begin operations. A sole trader retains all profits except taxes which might be effectively lower than in LLC. A status transformation should be considered if an owner wants to expand the business and increase its income. There are certain limitations for non-residents prior to establishing the sole trader.

Business migration

In order to obtain a work and residence permit to Slovenia, after the incoproration, company must meet one of the possible conditions:

  • Invest in the non-monetary fixed assets of the company valuing at least 50.000 eur in the first 6 months from the registration . This can be investment in property, plant, equipment, wehicle/s or similar.
  • To have a turnover of at least 10.000 eur per month in the period of 6 months and show possibility to earn the basic salary in Slovenia.
  • To have at least 1 person, citizen of Slovenia or EU, employed full-time in your company for at least 6 months.
