MONTENEGRO

Montenegro is a sovereign state in Southeastern Europe. In January 2007, Montenegro joined the World Bank and IMF, and in December 2011, the WTO. Montenegro began negotiations to join the EU in 2012. They also uses the euro as its domestic currency, though it is not an official member of the euro zone.

Types of Montenegro companies:
  • Montenegrin limited liability company (The Montenegrin limited company) is the most common type of company because it only requires a shareholder and a director, but a board of directors can also be established; the shareholders can be an individual or a legal entity. There is no minimum share capital for a limited company in Montenegro, but a bank account must be opened in order to register the company.
  • Montenegrin joint stock company requires a minimum share capital of 25,000 EUR that must be paid up before the incorporation. It requires a minimum of two shareholders that can be individuals or legal entities. The shareholders will be held liable to the extent of their participation for the company’s debts and obligations.
  • MontenegrinBranch, Subsidiary or Representative OfficeForeign companies are allowed to set up separate enterprises from the parent company, where the foreign company will be a shareholder in a Montenegrin company. Foreign companies can also open extensions of the parent company in Montenegro.
